Terms of Use

These Terms of Use ("Terms") govern your use of the QuoteKit mobile application ("the app," "QuoteKit"). The app is offered by Pablo Varona, sole proprietor ("we," "us"), contactable at feedback@tryquotekit.com. By installing or using QuoteKit, you ("you," "the operator") agree to these Terms. If you do not agree, do not install or use the app.

1. What QuoteKit is

QuoteKit is a mobile tool that helps small-business contractors and service operators build quote PDFs, manage scheduled jobs, store message templates, and capture client signatures on quotes. All your data stays on your device. We do not host, see, store, or transmit your information ourselves. (See the Privacy Policy for detail.)

2. License to use the app

Subject to these Terms, we grant you a personal, revocable, non-exclusive, non-transferable license to install and use QuoteKit on devices you own or control, for your own commercial or personal use as a service operator. The app's code and content remain ours; this license does not transfer ownership.

QuoteKit generates quote and contract PDFs from text, prices, photos, and signatures you supply. You retain full ownership of every PDF you generate and all the underlying data you enter. We claim no rights in your business profile, your client information, your quotes, your photos, your signatures, or your hashed acceptance proof.

The bundled Terms text printed at the bottom of every PDF, and the bundled message templates, are starting templates. You are responsible for what you send to your clients, including whether the bundled text complies with the laws of your jurisdiction (see Section 6).

QuoteKit is not a party to any quote, estimate, contract, or agreement between you and your client. We do not enforce, guarantee, broker, or mediate the underlying business transaction.

4. Electronic signatures

QuoteKit captures client signatures inside the app and stores a SHA-256 cryptographic hash of the quote contents alongside the captured signature image, the signer's typed name, and a timestamp. The signer is also presented with an explicit consent statement before signing.

This produces evidence of acceptance under the U.S. federal E-Sign Act (15 U.S.C. ch. 96) and most U.S. state Uniform Electronic Transactions Acts (UETA). We make no warranty that any specific signature will be admissible or enforceable in any specific dispute, jurisdiction, or forum — that depends on facts and law specific to the situation. You are responsible for retaining the resulting PDFs (the app helps by offering to email a copy to you on every signature).

The app is provided "as is" and "as available." We disclaim all warranties to the maximum extent permitted by law, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

QuoteKit is a tool, not a law firm, accountant, or licensed contractor. The bundled Terms text on PDFs, the templated cancellation language, the deposit-percent guardrails, and any other content we ship are not legal advice and may not be suitable for your jurisdiction. In particular:

7. Limitation of liability

To the maximum extent permitted by law, neither we nor our affiliates, contractors, or licensors are liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of data, business interruption, regulatory fines, or contractual disputes arising from your use of the app or any quote / contract you generate with it.

Our aggregate liability for any direct damages arising out of or related to QuoteKit shall not exceed the greater of (a) the amount you paid us for the app in the twelve (12) months preceding the claim, or (b) US $50.

Some jurisdictions do not allow these exclusions; in those, our liability is limited to the smallest amount permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless QuoteKit, its operators, and its licensors from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the app; (b) any quote, contract, estimate, or business transaction between you and a client; (c) your breach of these Terms; or (d) your violation of any applicable law.

9. Termination

You may stop using the app at any time by uninstalling it. We may suspend or terminate your license if you materially breach these Terms. On termination, the license in Section 2 ends; your locally-stored data remains on your device until you remove it.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be flagged in-app. The "Effective date" at the top reflects the most recent revision. Continued use of the app after a change means you accept the revised Terms.

11. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the app shall be resolved in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction there.

If any provision of these Terms is held unenforceable, the rest remain in effect.
